I think you can do it with Q3map2 (I'm not sure if you need the .map source, I think you'll be able to do this with the .bsp itself).

(specifically, read the -convert switch and also the subsection on making ASE models).
You can import ASE models into Max I believe.
Also, don't forget to get permission from any authors of maps your converting before you re-distribute them in any way.
For models, you can import .mdr formats in Milkshape and then export as a .3ds from there into Max. If it's MD3 format you should be able to find an md3 import plugin for Max.
